Prime Minister Anthony Albanese announced King Charles had approved his recommendation to appoint Ms Mostyn to the position from July 1.
Ms Mostyn will be Australia's 28th Governor-General and the second woman to hold the position.
"Sam Mostyn is an exceptional leader who represents the best of modern Australia," Mr Albanese said on April 3.
He said Ms Mostyn was a "tireless advocate" for women particularly in business, for women's safety and reconciliation.
Ms Mostyn grew up in Canberra and worked as a lawyer before taking on executive and non-executive roles, including as AFL commissioner for nearly a decade, and recently chaired the government's women's economic equality taskforce.
At the end of 2023 she was announced as the next chair of mental health support organisation Beyond Blue, taking over from former Prime Minister Julia Gillard.
"I'm deeply honoured by this great privilege and look forward to representing the values, hopes and aspirations of all Australians," Ms Mostyn said.
"I will never underestimate or take for granted the expectations that come with high office and I am ready to serve with integrity, compassion and respect."
In 2021 Ms Mostyn was appointed an Officer of the Order of Australia for her service to business, the community and women.
She will replace David Hurley who has served as Governor-General since 2019.
"David Hurley has done his duty with dignity, humility and great respect for the country that he has served and the country that he loves so deeply," Mr Albanese said.
"I wish he and Mrs Hurley all the very best for the next chapter of their lives together."
