In a statement organisers said they were "extremely disappointed" to announce the tour had been cancelled.
"Ticket sales have not been sufficient to deliver a regional festival of this kind," the statement said.
"All tickets will be refunded automatically.
"Thank you to everybody who has supported the festival.
"We hope to be able to bring Groovin the Moo back to regional communities in the future."
The music festival was set to take place at six venues across Australia between April 25 and May 11: Wayville, South Australia; Canberra, ACT; Bendigo, Victoria; Newcastle, NSW; Sunshine Coast, Queensland; and Bunbury, Western Australia.
The festival has been running since 2005 but took a hiatus in 2020 and 2021 during the COVID-19 pandemic.
The 2024 artists lineup was announced on January 31 before tickets went on sale on February 6.
US rappers GZA from Wu-Tang and Armani White, singer-songwriter Stephen Sanchez and UK band The Kooks were among those scheduled to perform at this year's festival.
Aussie talent on the lineup included Jet, The Jungle Giants, King Stingray, Mallrat and DMA's.
The shock announcement comes two days after the festival's programmer Rich Moffat announced his retirement from "formal booking roles".
Mr Moffat is also the programming coordinator at Castlemaine's MainFM radio station and said on Facebook he wanted to make "space for others to take charge as curators of future events".
